Terms of Service

1. Scope
These terms of service (“Terms”) govern the use of the SimStrats online application (“Service”) between Jeremiah Schiebel, Hammstraße 30, 52222 Stolberg, Germany (“Provider”) and the user (“You”). By registering an account you agree to these Terms.
2. Service Description
SimStrats provides tools for race-strategy planning, telemetry analysis, stint planning, and team communication for sim-racing applications. The feature set may be expanded or reduced at any time, provided the agreed core purpose is not materially impaired.
SimStrats is an assistance tool. AI strategy recommendations are non-binding; all race decisions are yours.
3. Conclusion of Contract
The contract is concluded when you register an account. For paid plans, conclusion happens by selecting a plan and confirming through the checkout process. Billing is handled via our payment provider (Clerk Billing / Stripe).
4. Pricing & Payment
Prices displayed on the website at the time of conclusion apply. Billing is in advance at the start of each billing period (monthly or yearly, depending on the chosen plan).
5. Term & Cancellation
The contract is concluded for an indefinite period. The term is determined by the chosen plan (monthly or yearly). You may cancel the contract at any time, effective at the end of the current billing period, directly under “Settings → Plan”.
We reserve the right of immediate extraordinary termination in case of breach of these Terms.
6. Consumer Right of Withdrawal
Consumers generally have a 14-day right of withdrawal. Because SimStrats is provided as a digital service immediately after conclusion of the contract, the right of withdrawal expires under § 356 (5) BGB once provision has begun with your express consent and you have been notified of the expiry.
The formal withdrawal notice and a model withdrawal form will be provided separately before contract conclusion. [TODO: have the withdrawal notice drafted by a lawyer.]
7. User Obligations
- You are responsible for keeping your login credentials confidential.
- Use of the Service for illegal purposes, to harm third parties, to send spam, or to circumvent technical protection measures is prohibited.
- Content you publish via the Service (e.g. chat messages, race templates) must not infringe third-party rights.
8. Availability
We strive for the highest possible availability of the Service but cannot guarantee it. Maintenance, technical issues, or outages at third-party providers (in particular Convex, Clerk, Google) may cause interruptions.
9. Limitation of Liability
We are unlimitedly liable only for damages arising from injury to life, body, or health, and in cases of intent or gross negligence. For simple negligence we are liable only for breach of essential contractual duties (cardinal duties), and only up to the foreseeable, contract-typical damage.
Liability for damages caused by incorrect AI strategy recommendations or telemetry errors (e.g. interrupted race, lost position) is excluded.
10. Intellectual Property
All rights to the Service, including software, design, trademarks, and text, remain with the Provider. You receive only a simple, non-transferable right of use for the duration of the contract. Content you enter (race data, chat, templates) remains yours; however, you grant us the right to use this content to provide the Service (e.g. display to team members).
11. Changes to these Terms
We may amend these Terms when needed. Changes will be announced 30 days in advance via email. If you do not object within this period, the changes are deemed accepted. In case of objection, you may terminate the contract without notice.
12. Final Provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Where permitted, the place of jurisdiction is the Provider’s registered seat (Stolberg). Statutory venues apply for consumers.
Should any provision of these Terms be invalid, the remainder shall remain unaffected.
